PREAMBLE

TRELI PAYMENTS, INC., a Delaware corporation with its registered office at 251 Little Falls Drive, Wilmington, New Castle, Delaware 19808, USA ("Treli", "we", "us"), makes available the software service known as Treli AI (the "Service").

These Terms of Service (the "Terms") govern access to and use of the Service by the entity or sole proprietor acting in the course of a business (the "Merchant", "you").

BUSINESS USE ONLY. The Service is offered solely to businesses. It is not intended for personal, family or household use, and you may not use it as a consumer. Your end customers, however, may be consumers protected by federal and state law, and Clause 8 allocates responsibility accordingly.

FIRST-PARTY RECEIVABLES ONLY. The Service is licensed for the collection of receivables that the Merchant itself owns. It is not licensed for collecting debts owned by or assigned from third parties, or for operating as a collection agency, unless Treli has agreed otherwise in writing in a Service Order. See Clause 7.3.

EMAIL ONLY. In the United States, the Service communicates with your customers by email only. It does not send SMS, MMS, voice calls or WhatsApp messages. See Clause 12.

PLEASE READ CAREFULLY. Clause 22 (Limitation of Liability), Clause 23 (Indemnification) and Clause 32 (Governing Law, Venue, Jury Waiver and Class Action Waiver) materially affect your rights.

1. SUBJECT MATTER AND CONTRACT DOCUMENTS

1.1. These Terms govern Treli's provision to the Merchant of a software-as-a-service offering: a multi-tenant platform for managing, tracking and collecting accounts receivable, incorporating artificial intelligence components and automated email communications.

1.2. Contract documents. The following form part of this agreement and, in the event of conflict, control in this order:

# Document Where to find it
1 Service Order, quote or master agreement signed by the parties Delivered to the Merchant
2 These Terms, including the data processing terms in Clause 17 and the Annex This document
3 Privacy Policy treli.ai/privacy

1.3. Trials and pilots. If you access the Service without a signed Service Order (free trial, sandbox, pilot), these Terms govern that access in full.

1.4. Authority. The individual accepting these Terms represents that they are authorized to bind the Merchant and that the entity information provided is accurate and current.

2. DEFINITIONS

Term Meaning
Administrator A User authorized to create, modify and remove other Users and to configure the Service.
Cadence A scheduled sequence of automated email communications configured by the Merchant.
Receivables Monetary obligations owed to the Merchant by its Customers, uploaded to or integrated with the Service.
Customer A person or entity recorded as owing payment to the Merchant and whose data is processed in the Service. Where that person is a natural person acting for personal, family or household purposes, they are a Consumer Customer.
AI Components Functionality based on large language models and other machine learning models, described in Clause 13.
Merchant Content All information, files, text, templates, logos, databases, documents and personal information that the Merchant or its Users upload, transmit or generate through the Service, including Receivables and email messages sent and received.
Account The Merchant's registration to access the Service.
Personal Information Information that identifies, relates to, or could reasonably be linked with an identified or identifiable individual, as defined under applicable US state privacy law.
Service Order The commercial document setting out plan, scope, volumes, pricing, term and particular conditions.
Plan The subscription tier contracted, with its usage limits, quotas and features.
Third-Party Services Any external provider, software, ERP, CRM, API, cloud service, authentication service or connector other than Treli used with the Service.
User An individual authorized by the Merchant to access the Service using individual credentials.

3. ACCEPTANCE AND ELECTRONIC RECORDS

3.1. Acceptance. You accept these Terms by any of: checking the acceptance box at registration; signing a Service Order that incorporates these Terms; activating the Service; accessing or using it; or paying the fees.

3.2. Electronic signatures and records. Consistent with the federal E-SIGN Act and applicable state UETA statutes, the parties agree that electronic signatures, clickwrap acceptance, and electronic records have the same legal effect as handwritten signatures and paper records. You waive any objection to enforceability based solely on electronic form.

3.3. Records as evidence. Audit logs, timestamps, correlation identifiers, credentials, IP addresses, platform events and other electronic records generated and retained by Treli are admissible and constitute prima facie evidence of the acts, instructions, configurations and communications performed through the Service.

4. ELIGIBILITY AND REGISTRATION

4.1. The Service may not be used by individuals under 18 or on their own behalf as consumers.

4.2. You will provide the information Treli requests to open an Account — legal, tax, commercial, operational, technical and contact information — and warrant that it is accurate, complete and current, and that you will keep it updated.

4.3. Treli may approve, decline, condition, limit or suspend onboarding where it identifies legal, regulatory, reputational, operational, fraud, security or compliance risk, or material inconsistencies in the information provided.

5. ACCOUNT, USERS, CREDENTIALS AND SECURITY

5.1. You will designate at least one Administrator. Credentials are individual and non-transferable; sharing them among multiple people or using generic accounts is prohibited.

5.2. All activity performed from the Account is presumed to be yours or that of persons you authorized. You are responsible for all actions taken with your Users' credentials — including sends, data uploads and Cadence configuration — and for revoking access for departing personnel within twenty-four (24) hours.

5.3. You will enable multi-factor authentication where the Service offers it, and will notify Treli without undue delay and in any event within twenty-four (24) hours of learning of any unauthorized use, credential loss, fraud or security incident affecting your Account, at security@treli.co.

5.4. Treli may impose step-up authentication, verification, usage limits, role restrictions and access controls, and may immediately suspend compromised credentials, notifying you as soon as reasonably practicable.

6. DESCRIPTION AND NATURE OF THE SERVICE

6.1. Functionality. Depending on your Plan, Treli AI may include: receivables ingestion by file, API or accounting integration; an accounts-receivable ledger with payment application, aging and custom fields; a Cadence engine with automated email sending, including business-day, holiday and send-window controls; a two-way conversational engine with intent classification and drafted replies; automated analysis of attachments your Customers send (image, document and text); operations cases and a queue for human agents; generation of statements and collection letters in PDF; collections analytics; and administration of users, roles, permissions and audit records. The current functional description is published in Treli's documentation.

6.2. What Treli is not. Treli AI is a software tool supporting your management of your own receivables. Treli:

a) does not purchase, acquire, discount, factor or assume your Receivables; b) does not act as your creditor, attorney, agent for legal process, or collection agency, and is not a "debt collector" as defined in the federal Fair Debt Collection Practices Act, 15 U.S.C. § 1692a(6); c) does not furnish information to consumer reporting agencies. Any such furnishing is your sole decision and responsibility under the Fair Credit Reporting Act; d) does not guarantee collection, recovery or any financial outcome; e) does not provide legal, accounting, tax or financial advice.

6.3. Changes to the Service. Treli may add, modify, improve, replace or discontinue functionality. If a change materially and adversely degrades an essential contracted feature, Treli will give at least thirty (30) days' notice and you may terminate without penalty within thirty (30) days, with a pro-rata refund of prepaid, unused fees.

6.4. Trial environments. Sandbox, free trials and features labeled "pilot", "beta" or "preview" are provided AS IS, without warranty or service level, and may be suspended or their data deleted at any time on reasonable notice.

7. MERCHANT REPRESENTATIONS AND OBLIGATIONS

You represent, warrant and covenant, continuously throughout the term:

7.1. Ownership and validity of Receivables. That you are the lawful owner of the obligations uploaded; that they are bona fide, due, liquidated and not barred by the applicable statute of limitations; and that they are not subject to bankruptcy proceedings, automatic stay, court order or other restriction preventing collection.

7.2. Accuracy. That Customer identification data, balances, dates and email addresses are accurate, complete and current, and that you will update them promptly. Treli does not verify the validity of your Receivables and operates solely on the information you supply.

7.3. First-party collections. That you are collecting debts you own, and that you are not using the Service to collect debts acquired in default, assigned from third parties, or on behalf of others, unless expressly permitted in a Service Order. You acknowledge that third-party collection activity would subject you to the FDCPA and, in many states, to collection agency licensing requirements that this Service is not configured to support.

7.4. Fair collection practices. That your use of the Service complies with all applicable debt collection and consumer protection law, including:

a) Section 5 of the FTC Act and state unfair, deceptive or abusive acts and practices (UDAP/UDAAP) statutes, which apply to first-party creditors; b) state debt collection statutes that reach original creditors, including but not limited to California's Rosenthal Fair Debt Collection Practices Act (Cal. Civ. Code § 1788 et seq.); c) any state law governing communication hours, frequency, content or recordkeeping in collections; d) prohibitions on contacting your Customer's employer, family members, references or other third parties about the debt.

7.5. No harassment or misrepresentation. That you will not use the Service to harass, oppress, abuse, threaten or intimidate; to use obscene or abusive language; to misrepresent the amount, character or legal status of a debt; to falsely imply attorney involvement, government affiliation or law enforcement action; or to threaten legal action, credit reporting or other consequences that you do not intend to take or that are not legally available to you.

7.6. Message content. That your templates, letters and messages are truthful, substantiated, clear and not misleading, and that they do not mislead as to the amount, nature or consequences of the obligation.

7.7. Email practices. That you comply with Clause 12, including the CAN-SPAM Act where applicable, accurate sender identification and headers, a functioning opt-out, and prompt honoring of opt-out requests.

7.8. Credit reporting. That if you furnish information about your Customers to consumer reporting agencies, you comply with your obligations as a furnisher under the Fair Credit Reporting Act, 15 U.S.C. § 1681s-2, including accuracy, dispute investigation and the duty to correct. The Service does not furnish such information.

7.9. Human oversight. That you will maintain reasonable human supervision over automated communications and over the classifications and drafts produced by the AI Components, and will respond to escalated cases within reasonable timeframes.

7.10. Sensitive information and minors. That you will not knowingly upload sensitive categories of personal information about your Customers (health, biometric, precise geolocation, racial or ethnic origin, religious beliefs, sexual orientation, union membership, government identifiers beyond what is necessary) or data about individuals under 16.

7.11. Licensing. That you hold all licenses, registrations and authorizations necessary to conduct your business and to collect your receivables in each jurisdiction where you do so.

7.12. Cooperation. That you will provide Treli, within reasonable timeframes, with information and cooperation needed to provide the Service and to respond to lawful requests from authorities.

8. ALLOCATION OF COMPLIANCE RESPONSIBILITY

8.1. You decide whom to contact, how often, and with what message. Treli provides configurable controls, described in Annex A, which are enabled by default. You are solely responsible for configuring, supervising and maintaining them in line with applicable law, and for verifying their correct operation.

8.2. Disabling or loosening any control is your decision, requires an express act by an Administrator, is recorded in the Service audit trail with timestamp, user and prior and new values, and you assume the consequences in full.

8.3. Treli may update default values to reflect regulatory developments. This does not constitute legal advice and is not a guarantee of your compliance.

9. ACCEPTABLE USE

9.1. You and your Users will not:

a) use the Service to collect obligations that are non-existent, time-barred, already paid, discharged in bankruptcy, or disputed and unverified; b) upload data about individuals with no connection to a genuine obligation; c) send marketing or promotional email unrelated to collections through the Service without separate, documented consent and CAN-SPAM compliance; d) misrepresent sender identity, falsify headers, obscure origin or mislead recipients; e) decompile, reverse engineer or disassemble the Service or derive its source code; f) circumvent or alter usage limits, send-window or frequency controls, authentication, suppression lists or audit records; g) conduct penetration testing, vulnerability scanning, load testing or denial-of-service testing without Treli's prior written consent; h) use the Service to develop, train or evaluate a competing product, or to publish benchmarks without written consent; i) resell, sublicense, lease or provide the Service to third parties, or operate as a collection agency, except as permitted in a Service Order; j) upload malicious code, scrape improperly, exploit vulnerabilities or attempt to access other customers' data; k) manipulate the AI Components through hidden instructions or prompt injection, or use their outputs for purposes other than receivables management; l) use the Service in violation of US sanctions or export control laws, including those administered by OFAC and BIS; m) use the Service in a manner that harms the stability, security, reputation or compliance of Treli or its providers.

9.2. Monitoring and consequences. Treli may monitor, filter, limit, block or suspend particular features, Cadences, messages, senders or integrations where it identifies abuse, fraud, non-compliance or reputational risk. Breach of this Clause entitles Treli to suspend immediately and to terminate under Clause 25.

9.3. Abuse reports. Anyone may report abuse to abuse@treli.co. Treli will investigate reasonably and may, where there is a serious and evident risk of harm, suspend specific outbound sends while the matter is resolved, notifying you.

10. RISK CONTROLS

10.1. Treli may apply risk controls, rules, filters, validations, manual review, requests for documentation and preventive blocks to protect you, Treli, your Customers or third parties.

10.2. No control eliminates the risk of fraud, impersonation, operational error or misuse. You retain primary responsibility for the lawfulness of your collection activity.

11. THIRD-PARTY SERVICES

11.1. The Service relies on Third-Party Services, including cloud infrastructure and models (Amazon Web Services, including compute, databases, storage, Amazon Bedrock and Amazon SES), payment processing (Stripe), support tooling (Intercom) and, where you enable it, accounting systems such as Intuit QuickBooks Online. Treli maintains a current list of these providers, available on request, and gives advance notice of changes in accordance with Clause 17.7.

11.2. Use of those services may be subject to the third party's own terms. Treli does not warrant continued compatibility, availability or uninterrupted operation of any Third-Party Service, and is not liable for their acts, omissions, policy or pricing changes, restrictions or suspensions, except for Treli's own negligence in selecting and managing providers.

11.3. Integrations you enable. When you connect a third-party system using credentials, OAuth or an API key, you authorize Treli to access, read and write in that system only as necessary to provide the Service. You are responsible for the permissions you grant and may revoke them at any time. Some integrations are subject to third-party rate or quota limits; exhaustion may degrade or interrupt synchronization without liability for Treli.

11.5. Accounting integration — QuickBooks Online. If you connect your Intuit QuickBooks Online company, you authorize Treli to read the following accounting data through Intuit's API, on an ongoing basis while the connection is active:

a) Customers: display name, company name, billing and shipping address, email address, telephone number, customer identifier, parent/sub-customer relationship, currency and active status; b) Invoices and other receivable transactions: invoice number and identifier, issue and due dates, line items and descriptions, amounts, taxes, currency, balance outstanding, status and aging, together with credit memos, sales receipts and refunds where relevant to the balance; c) Payments: date, amount, method, reference and the invoices to which each payment is applied; d) Company information: company name, address, fiscal year and currency settings, used to interpret the records above.

11.5.1. Why Treli reads it. Solely to build and keep current the accounts-receivable ledger that drives the Service: determining who owes what, how much is outstanding, how overdue it is, when a payment has been received, and therefore which Cadence step — if any — applies to each Customer. Treli does not use QuickBooks data to build advertising or marketing profiles, to score creditworthiness, or for any purpose unrelated to collecting your receivables.

11.5.2. Treli stores it. The accounting data listed above is copied into and stored within the Service for as long as the connection is active and thereafter in accordance with Clause 26. Storage is necessary because the Service must evaluate cadences, generate statements, reconcile replies against balances and maintain an audit trail, which cannot be done by querying Intuit on demand. It is stored encrypted and logically segregated from other customers' data.

11.5.3. Writing back. Treli reads from QuickBooks by default. If you enable write-back in the Service settings, Treli may record limited collection activity against the corresponding records. Treli will not create, modify or void invoices or payments unless you expressly enable that function.

11.5.4. Who sees this data. Beyond Treli, the following processors may handle QuickBooks-derived data, each only to the extent necessary for its function:

Processor What it handles Role
Amazon Web Services, Inc. All stored accounting data: compute, database, object storage, queues and encryption key management Processor
Amazon Web Services, Inc. — Amazon Bedrock Customer name, invoice and balance context supplied to the AI models when classifying a reply or drafting a response Processor
Amazon Web Services, Inc. — Amazon SES Customer email address and the invoice, balance and due-date values rendered into outbound messages and statements Processor
Intercom, Inc. Only what you or your Users voluntarily include in a support conversation Processor

Stripe, Inc. does not receive QuickBooks data; it processes only your own subscription payment to Treli. Intuit Inc. is the source of the data, not a recipient, and its handling of your QuickBooks company is governed by your agreement with Intuit. Treli does not sell or share QuickBooks data, does not disclose it to any third party for that party's own purposes, and does not use it to train or improve any third-party model.

11.5.5. Disconnecting. You may disconnect the integration at any time from the Service settings or from within QuickBooks. On disconnection Treli stops reading new data immediately; data already stored is retained and deleted in accordance with Clause 26, or sooner on your written request, subject to legal retention obligations.

11.6. Treli may substitute a provider of equivalent or higher standard, notifying you where the change materially affects the location or handling of your data, in accordance with Clause 17.7.

12. EMAIL CHANNEL

12.1. Email only. In the United States, the Service sends and receives email only. It does not place calls or send SMS, MMS or messages over WhatsApp or other messaging platforms. Any future addition of such channels will be subject to separate terms and prior notice.

12.2. Sending domain and authentication. You will use a sending domain you control and will maintain valid SPF, DKIM and DMARC records for it. Treli may decline to send from a domain that fails authentication.

12.3. CAN-SPAM and transactional content. Collection messages concerning an existing debt are generally transactional or relationship messages under the CAN-SPAM Act. Notwithstanding that characterization, you will: identify yourself accurately; use non-deceptive subject lines and headers; include a valid physical postal address; provide a functioning opt-out; and honor opt-out requests within ten (10) business days. You will not combine collection messages with marketing content.

12.4. Suppression. You will maintain and honor suppression of recipients who have opted out, whose addresses have hard-bounced, or who have complained. The Service provides suppression lists; keeping them accurate is your responsibility.

12.5. Deliverability. Delivery, opening and reply depend on third parties — receiving mail providers, spam filters, domain and IP reputation — and on the state of the recipient's mailbox. Treli does not guarantee delivery, opening or reply, and is not liable for messages being filtered as spam or for a domain or sender being blocklisted. Delivery statuses shown in the Service come from providers and are informational.

12.6. Reputation. Excessive complaint or bounce rates can degrade the reputation of the sending domain and of the shared infrastructure. Treli may throttle, pause or suspend sending from a domain that exceeds the thresholds published in its documentation, notifying you.

13. ARTIFICIAL INTELLIGENCE COMPONENTS

13.1. Description. The Service uses large language models and other machine learning models, executed through managed cloud services, to: classify the intent of Customer replies; extract information from receipts and attachments; resolve dates and payment commitments expressed in natural language; generate draft replies; analyze template and letter content; and produce prioritization scores.

13.2. Probabilistic by nature. You acknowledge that the outputs of the AI Components are probabilistic and non-deterministic, may contain errors, inaccuracies or omissions, and that identical inputs may produce different outputs. Outputs do not constitute legal, accounting, tax, financial or credit advice.

13.3. Human oversight required. The AI Components are an assistive tool. You are solely responsible for decisions made on their basis and must apply meaningful human review before: (i) furnishing information to a consumer reporting agency; (ii) initiating legal action or referring an account for legal action; (iii) accepting, rejecting or disputing a payment or payment arrangement; (iv) issuing a release, settlement or paid-in-full confirmation; or (v) taking any action with legal or similarly significant effect on an individual. Treli provides escalation to a human agent and automation pause; using them is your responsibility.

13.4. Use of Merchant Content. Treli processes Merchant Content through the AI Components solely to provide the Service. The AI Components run through managed cloud services contracted on terms that exclude the use of Merchant Content to train or improve the provider's models, and Treli does not supply that content to model providers for training. If Treli later adds a model provider that does not offer that commitment, it will notify you before enabling it. Treli may use aggregated, de-identified data that cannot reasonably be used to identify you or any individual to measure performance, improve the Service and develop features.

13.5. Logging. Treli retains records of AI Component invocations (purpose, model, timestamp, identifiers and, as applicable, inputs and outputs) for audit, quality control, legal defense and response to lawful requests, for the period stated in Clause 27.

13.6. Untrusted content. Messages and documents sent by your Customers are treated as untrusted input. Treli implements reasonable defenses against prompt injection; this is not a guarantee of infallibility.

13.7. Model changes. Treli may change the underlying model or model provider to improve quality, cost or availability, maintaining a substantially equivalent level of data protection and quality.

14. FEES, BILLING AND TAXES

14.1. Fees. You will pay the amounts stated in the Service Order or quoted by Treli, which may include a recurring subscription fee and variable usage fees (emails sent, active accounts, AI invocations, documents generated, API calls).

14.2. Currency and payment. All fees are in US dollars. Unless the Service Order states otherwise, fees are charged in advance to the payment method on file at the start of each billing period.

14.3. Taxes. Fees are exclusive of taxes. You are responsible for all sales, use, excise, gross receipts and similar taxes imposed on the Service, excluding taxes based on Treli's net income. Where you claim an exemption, you will provide a valid exemption certificate; until Treli receives it, Treli may charge applicable tax.

14.4. Invoices and disputes. Treli will issue invoices to your billing email. You must dispute an invoice in writing within ten (10) days of receipt, identifying the items and amounts disputed; absent timely dispute, the invoice is deemed accepted. Undisputed amounts remain payable when due. Where invoicing and payment by transfer are agreed, invoices are due net thirty (30) unless the Service Order states otherwise.

14.5. Non-payment. Treli does not charge late interest. If a charge is declined, the payment method expires, or payment is not received when due, Treli may retry and will notify you. After fifteen (15) days past due, and on five (5) days' prior written notice, Treli may suspend the Service, without relieving Treli of its data custody duties or you of payment for amounts accrued.

14.6. Email costs included. Treli's fees include the costs charged by email infrastructure providers. Treli does not pass those through as a separate charge. Those rates are set by third parties and may change; if a provider changes them substantially, Treli may adjust pricing prospectively on notice and without retroactive charges.

14.7. No refunds; no set-off. Except as required by law or expressly agreed in writing, fees paid are non-refundable. Except for taxes required by law to be withheld, you may not withhold, deduct or set off amounts owed to Treli against credits not expressly acknowledged by Treli in writing.

14.8. Overages. Usage above Plan quotas is billed at the published overage rates. Treli provides usage alerts; monitoring your usage is your responsibility.

15. INTELLECTUAL PROPERTY

15.1. Treli's rights. The Service, its source and object code, architecture, models, system prompts, algorithms, interfaces, APIs, designs, documentation, methodologies, improvements, trademarks and logos are the exclusive property of Treli or its licensors. Nothing in these Terms transfers any intellectual property right to you.

15.2. License. Treli grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license for the term, to access and use the Service for your internal business purposes in accordance with your Plan.

15.3. Merchant Content. Merchant Content remains your property. You grant Treli a non-exclusive, worldwide, royalty-free license, sublicensable as necessary, limited to the term and to what is necessary to host, reproduce, transmit, back up, process, technically adapt, index and display that content in order to provide, support, secure and improve the Service and to comply with law. You represent that you hold all rights and consents necessary and that the content does not infringe third-party rights.

15.4. Your marks. You authorize Treli to use your logo and visual identity to brand messages, statements and letters generated on your behalf. You also authorize Treli to identify you as a customer in commercial materials, presentations, its website and corporate communications during the term, unless you request otherwise in writing.

15.5. Feedback. Suggestions, ideas, comments and improvement proposals you provide constitute "Feedback", which Treli may use, incorporate, adapt, develop and exploit freely, without restriction, confidentiality obligation as to the Feedback itself, compensation or attribution.

15.6. AI output. As between the parties, outputs of the AI Components generated for you from your Content are treated as Merchant Content, without prejudice to the possibility that similar or identical outputs may be generated for other customers and to Treli's rights in the underlying technology.

16. CONFIDENTIALITY

16.1. Confidential Information means non-public technical, financial, commercial, operational, legal or strategic information disclosed by one party to the other. Merchant Content is your Confidential Information; the Service, its architecture, prompts, code, security, metrics, non-public pricing and roadmaps are Treli's.

16.2. The receiving party will use Confidential Information only to perform this agreement; will not disclose it without written consent, except to employees, advisors and subcontractors with a need to know and bound by no less protective obligations; and will protect it with at least reasonable care and no less than it uses for its own confidential information.

16.3. Exclusions. Information that is or becomes public without fault of the recipient; was lawfully in its possession before disclosure; is independently developed without use of the disclosed information; or is lawfully received from a third party without restriction.

16.4. Compelled disclosure. If compelled by law or legal process, the recipient will, to the extent legally permitted, give reasonable advance notice and disclose only what is required.

16.5. Duration. Confidentiality obligations survive for five (5) years after termination, and indefinitely for trade secrets and Personal Information.

17. DATA PROTECTION AND PRIVACY

17.1. Roles. With respect to Personal Information about your Customers that you upload or generate in the Service, you are the business / controller and Treli is the service provider / processor under applicable US state privacy laws, including the California Consumer Privacy Act as amended by the CPRA and the comprehensive privacy statutes of other states. With respect to the contact, billing and support data of your Users and representatives, Treli acts as a business / controller under its Privacy Notice.

17.2. These Terms are the required contract. This Clause 17, together with Clauses 11, 18 and 26, constitutes the written contract required by Cal. Civ. Code § 1798.100(d) for Treli to act as your service provider, and the equivalent processor contract required by the comprehensive privacy statutes of other states. No separate addendum is required. Treli will execute a customer-specific data processing addendum on request where your procurement process requires one.

17.3. Purpose and limitation. You disclose Personal Information to Treli for the limited and specified purpose of providing the Service described in Clause 6 — managing your receivables and conducting collections communications on your behalf — and for no other purpose. Treli processes that information only on your documented instructions, which consist of these Terms, your configuration of the Service, and any further written instructions the parties agree.

17.4. Service provider commitments. Treli will not:

a) sell Personal Information or share it for cross-context behavioral advertising; b) retain, use or disclose Personal Information for any purpose other than performing the Service, or as otherwise permitted by applicable law; c) retain, use or disclose Personal Information outside the direct business relationship between Treli and you; d) combine Personal Information received from you with Personal Information received from or on behalf of any other party, or collected from Treli's own interactions with individuals, except as expressly permitted by applicable law.

Treli will comply with the obligations applicable to it as a service provider or processor under applicable US state privacy law and will provide the same level of privacy protection those laws require.

17.5. Notice of inability to comply. Treli will notify you promptly if it determines that it can no longer meet its obligations under applicable state privacy law. On receiving that notice, you may direct Treli to stop the processing concerned and to take reasonable and appropriate steps to remediate any unauthorized use.

17.6. Your oversight rights. You may take reasonable and appropriate steps to confirm that Treli uses Personal Information consistently with your obligations under applicable law, using the audit mechanism in Clause 18.4, and to stop and remediate any unauthorized use.

17.7. Subprocessors. Treli engages the third parties identified in Clause 11.1 and, for accounting data, in Clause 11.5.4. Treli imposes on each of them, by written contract, obligations no less protective than those in this Clause, and remains responsible for their performance. Treli will notify you at least thirty (30) days in advance of adding or replacing a subprocessor that processes Personal Information, and will maintain a current list available on request. You may object on reasonable, documented data protection grounds within fifteen (15) days; if the parties cannot agree on a solution, you may terminate the affected portion of the Service without penalty.

17.8. Assistance with individual rights. Treli will provide functionality allowing you to access, export, correct and delete an individual's Personal Information and to record suppression and do-not-contact requests. Where you cannot perform the action yourself, Treli will perform it within five (5) business days of your written instruction. Requests that individuals send directly to Treli are forwarded to you within two (2) business days, as described in the Privacy Policy.

17.9. Security and incidents. Treli's security obligations and its incident notification commitment are set out in Clause 18.

17.10. Deletion and return. On termination, Treli will make Merchant Content available for export and will then delete or de-identify it in accordance with Clause 26.

17.11. Your obligations. You are responsible for: providing any notice and obtaining any consent required for your collection and use of Customer Personal Information; maintaining your own privacy policy; responding to consumer rights requests directed to you; and determining whether and how applicable privacy law applies to your business.

17.12. Data location. All processing for US Merchants occurs in the United States. If you upload Personal Information about individuals located outside the United States, you must notify Treli in writing in advance so that additional terms can be assessed.

18. SECURITY

18.1. Treli maintains an information security program reasonable and appropriate to the risk, comprising the technical and organizational measures summarized in Section 9 of the Privacy Policy, including encryption in transit and at rest, field-level encryption of identifying data with keys segregated per Merchant, logical multi-tenant segregation, least-privilege access control, network isolation, secrets management, audit logging, secure development practices, tested backups and AI-specific controls.

18.2. Incidents. Treli will notify you without undue delay and in any event within forty-eight (48) hours of confirming a security incident affecting Personal Information or Merchant Content, with the information then available, and will cooperate reasonably in containment, investigation, and in any notifications you are required to make under applicable state breach notification law. Determining whether notification to individuals or regulators is required, and making it, is your responsibility as the business/controller.

18.3. Your responsibilities. You are responsible for the security of your own systems, devices, networks, credentials, API keys and User permissions.

18.4. Audit. Once per calendar year, on thirty (30) days' written notice, you may request reasonable evidence of compliance (certifications, independent third-party reports or security questionnaires). On-site audits or technical testing require prior agreement on scope, timing and cost, and may not affect Service availability or other customers' confidentiality.

18.5. No system is invulnerable. Treli does not warrant the complete absence of errors, vulnerabilities or security incidents.

19. AVAILABILITY, MAINTENANCE AND SUPPORT

19.1. Treli will use commercially reasonable efforts to maintain availability and operational continuity. You acknowledge that interruptions, maintenance, degradation, errors, delays and partial unavailability may occur, particularly where dependent on Third-Party Services.

19.2. Treli may perform scheduled or corrective maintenance, infrastructure changes, deployments and security actions without this constituting breach. Scheduled maintenance will preferably occur outside 07:00–19:00 US Eastern Time on business days, on at least forty-eight (48) hours' notice, except for emergency maintenance.

19.3. Support. Support is provided at support@treli.co and through other channels Treli enables. It does not include custom development, data migration or correction of errors caused by you.

19.4. No SLA. These Terms create no service level commitments. Any service level agreement must be expressly agreed in the Service Order and will control to the extent stated there.

20. SANCTIONS, EXPORT AND ANTI-CORRUPTION

20.1. Each party represents that it is not, and is not owned or controlled by, a person on the OFAC Specially Designated Nationals and Blocked Persons List or any other US restricted party list, and is not located in a comprehensively sanctioned jurisdiction.

20.2. You will not use or make the Service available in violation of US sanctions or export control laws, including the Export Administration Regulations.

20.3. Each party will comply with the Foreign Corrupt Practices Act and other applicable anti-corruption and anti-money-laundering laws.

20.4. You authorize Treli to screen you, your representatives, owners and beneficial owners against restricted party lists and public sources, and to repeat that screening periodically.

20.5. A listing, material inconsistency or breach of this Clause is grounds for refusal of onboarding, suspension or immediate termination without liability.

21. WARRANTIES AND DISCLAIMER

21.1. Treli warrants that it will provide the Service with the professional care customary in the industry; that it holds the rights necessary to grant the license in Clause 15.2; and that it will not intentionally introduce malicious code.

21.2. Disclaimer. EXCEPT AS EXPRESSLY STATED AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TRELI DISCLAIMS ALL OTHER WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY AS TO THE ACCURACY, COMPLETENESS OR SUITABILITY OF THE OUTPUTS OF THE AI COMPONENTS. Treli does not warrant that use of the Service will result in collections, recovery or any other specific benefit, or that it will by itself make you compliant with any law.

22. LIMITATION OF LIABILITY

22.1. Exclusion of indirect damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR LOST PROFITS, LOST REVENUE, LOSS OF BUSINESS OR OPPORTUNITY, LOSS OF GOODWILL, LOSS OF CUSTOMERS, LOSS OR CORRUPTION OF DATA (BEYOND THE DUTY TO RESTORE FROM BACKUP), OR FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY.

22.2. Cap. TRELI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS ACTUALLY PAID BY YOU TO TRELI IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. If the relationship has lasted less than three months, the cap is the amount paid in that period.

22.3. Exceptions. The limits above do not apply to: (a) willful misconduct or gross negligence; (b) your payment obligations; (c) willful breach of confidentiality; (d) your indemnification obligations under Clause 23; or (e) liability that cannot be limited under applicable law.

22.4. Allocation of risk. The parties acknowledge that the fees reflect the allocation of risk in this Clause and that these limits are an essential basis of the bargain.

22.5. Treli is not liable for: (i) your collection decisions; (ii) the content of messages you configure or approve; (iii) the accuracy, existence or enforceability of your Receivables; (iv) penalties, judgments or settlements arising from your non-compliance with the FTC Act, state UDAP statutes, the Rosenthal Act, the FCRA, CAN-SPAM or other law applicable to your business; or (v) the acts of your Customers or third parties.

23. INDEMNIFICATION

23.1. By the Merchant. You will defend, indemnify and hold harmless Treli, its affiliates, officers, employees, contractors and providers from and against any claim, demand, complaint, investigation, penalty, fine or proceeding brought by a third party — including your Customers, state attorneys general, the FTC, the CFPB or any other authority — and any resulting judgments, settlements, costs and reasonable attorneys' fees, arising from:

a) the existence, validity, ownership or enforceability of your Receivables; b) the absence or insufficiency of any notice, consent or disclosure required for your collection activity or your use of your Customers' Personal Information; c) your non-compliance with the FTC Act, state UDAP statutes, the Rosenthal Act or other applicable collection law; d) your furnishing of information to consumer reporting agencies; e) the content of templates, letters and messages you configure or approve; f) decisions you make based on outputs of the AI Components; g) your configuration, disabling or loosening of the controls in Annex A; h) infringement of third-party rights by Merchant Content; i) your breach of these Terms or of applicable law.

23.2. By Treli. Treli will defend you against third-party claims alleging that your use of the Service in accordance with these Terms infringes a US patent, copyright, trademark or trade secret, and will pay resulting final judgments and reasonable costs. This does not apply where the claim arises from Merchant Content, unauthorized modification, combination with products not supplied by Treli, or use in breach of these Terms. Treli may, at its option, modify the Service, obtain a license, or terminate and refund the unused portion.

23.3. Procedure. The party receiving a claim will notify the other in writing within ten (10) business days, give it reasonable control of the defense, and provide cooperation at the indemnifying party's expense. No settlement imposing obligations on the indemnified party may be made without its written consent.

24. SUSPENSION

24.1. Treli may suspend, restrict or limit the Service in whole or in part, on prior notice where reasonably practicable, if: (a) payment is past due under 14.5; (b) you breach these Terms, particularly Clauses 7, 8 or 9; (c) there is risk of fraud, security compromise, impersonation or misuse; (d) an investigation relating to the Account is underway; (e) required by a competent authority; (f) required by a provider of a Third-Party Service; or (g) there is imminent risk of serious harm to your Customers or third parties.

24.2. Suspension will last only as long as necessary and does not relieve you of payment for amounts accrued. During suspension Treli will retain Merchant Content in accordance with Clause 26. Where reasonably practicable, Treli will explain the suspension and the steps for reinstatement.

25. TERM, RENEWAL AND TERMINATION

25.1. Term. The agreement begins on acceptance or on the date stated in the Service Order. The term and any minimum commitment are as agreed in the Service Order. Absent express agreement, the agreement is month-to-month with no minimum commitment.

25.2. Renewal. The agreement renews automatically for successive periods equal to the initial term unless either party gives notice of non-renewal before the end of the current period. For terms of twelve (12) months or more, notice must be given at least thirty (30) days in advance; for month-to-month, before the renewal date.

25.3. Termination for cause. Either party may terminate if the other materially breaches and fails to cure within fifteen (15) days of written notice. For breach of Clauses 7.4, 7.5, 8 or 9, Treli may terminate immediately.

25.4. Other immediate termination. Either party may terminate immediately if the other becomes subject to bankruptcy, insolvency or receivership proceedings, makes an assignment for the benefit of creditors, or is placed on a restricted party list. Treli may also terminate if it ceases to offer the Service in a jurisdiction or segment, or if continuation becomes technically, legally or economically impracticable, on reasonable notice and with a pro-rata refund of prepaid, unused fees.

25.5. Termination for convenience. Unless otherwise agreed, you may terminate on thirty (30) days' written notice. No refund will be made of prepaid fees for the current period, and any remaining balance of a committed minimum term becomes due.

25.6. Effects. On termination: access ceases; accrued amounts become due; and each party will return or destroy the other's Confidential Information, except copies retained by law or in automated backups, which remain subject to confidentiality.

25.7. Survival. Clauses 2, 15, 16, 17, 21.2, 22, 23, 25.6, 25.7, 26, 30, 31 and 32 survive, as does any clause that by its nature should survive.

26. EXPORT, RETENTION AND DELETION

26.1. Export. For thirty (30) days after termination, and provided your account is current, Treli will keep Merchant Content available for export in structured, commonly used formats.

26.2. Retention. Treli retains information for as long as needed for the purpose collected or as required by law, using as reference: seven (7) years for accounting and tax records; five (5) years for compliance and screening records; twenty-four (24) months for communication audit records and AI Component invocations, in pseudonymized form; and ninety (90) days for operational infrastructure logs.

26.3. Treli may retain information beyond these periods where there is pending litigation, a legal hold, a request from a competent authority, or a mandatory legal obligation.

26.4. Deletion. After the applicable periods, and absent a legitimate basis for retention, Treli will securely delete or irreversibly de-identify the information. Deletion from backups will occur in accordance with normal rotation and purge cycles.

27. CHANGES TO THESE TERMS

27.1. Treli may amend these Terms. The current version will be published at treli.ai/terms-of-service with its date.

27.2. Minor, operational or clarifying changes take effect on the date stated in the update.

27.3. Material and adverse changes will be notified at least thirty (30) days in advance to your registered email and take effect at the end of that period. If you do not accept them, you may terminate without penalty before the effective date, with a pro-rata refund of prepaid, unused fees. Continued use after the effective date constitutes acceptance.

27.4. Changes required by law, by a competent authority or by a provider may take effect immediately, with notice as soon as practicable.

28. FORCE MAJEURE

Neither party is liable for failure to perform (other than payment obligations already accrued) due to causes beyond its reasonable control, including natural disasters, pandemics, acts of government, civil unrest, terrorism, labor disputes, widespread telecommunications or power failures, large-scale cyberattacks, and prolonged outages of essential cloud infrastructure providers. The affected party will give notice within five (5) business days and use reasonable efforts to mitigate. If the event continues for more than sixty (60) days, either party may terminate without liability.

29. ASSIGNMENT AND SUBCONTRACTING

29.1. You may not assign this agreement without Treli's prior written consent.

29.2. Treli may assign to an affiliate or in connection with a merger, reorganization or sale of substantially all assets, on notice to you.

29.3. Treli may subcontract performance, remaining responsible for its subcontractors. Subcontracting involving Personal Information is governed by Clause 17.7.

30. NOTICES AND ELECTRONIC COMMUNICATIONS

30.1. Notices are effective when sent: (i) to Treli, at legal@treli.co, with a copy to Treli Payments, Inc., 251 Little Falls Drive, Wilmington, New Castle, Delaware 19808, USA; (ii) to you, at the Administrator and billing email addresses on file, or the address in the Service Order.

30.2. You consent to receive operational, contractual, administrative, security, support, billing, compliance and legal notices by email or in-Service message. Notices sent to the contact details on file are deemed received the next business day.

30.3. Keeping your contact details current is your responsibility; failure to do so may not be asserted as failure of notice.

31. GENERAL

31.1. Independent contractors. The parties are independent contractors. Nothing creates a partnership, joint venture, agency, franchise or employment relationship.

31.2. Personnel. Each party is the sole employer of its own personnel.

31.3. Entire agreement. These Terms, their Annex and the Service Order are the entire agreement on their subject matter and supersede prior agreements, proposals and communications. Pre-printed terms on purchase orders, vendor portals or similar documents are of no effect, even if signed by Treli for administrative purposes.

31.4. Severability. If a provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remainder will continue in effect.

31.5. No waiver. Failure or delay in exercising a right is not a waiver.

31.6. Headings. Headings are for reference only.

31.7. Language. This agreement is made in English.

31.8. Counterparts and electronic signature. This agreement may be executed in counterparts and by electronic signature.

32. GOVERNING LAW, VENUE, JURY WAIVER AND CLASS ACTION WAIVER

32.1. Governing law. These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles and excluding the UN Convention on Contracts for the International Sale of Goods.

32.2. Informal resolution. The parties will attempt in good faith to resolve any dispute informally for thirty (30) days after written notice of the dispute.

32.3. Venue. The state and federal courts located in New Castle County, Delaware have exclusive jurisdiction. Each party consents to personal jurisdiction there and waives any objection based on venue or forum non conveniens.

32.4. JURY TRIAL WAIVER. EACH PARTY KNOWINGLY, VOLUNTARILY AND IRREVOCABLY WAIVES ANY RIGHT TO TRIAL BY JURY IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

32.5. CLASS ACTION WAIVER. EACH PARTY AGREES THAT ANY DISPUTE WILL BE BROUGHT SOLELY IN THAT PARTY'S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING.

32.6. Injunctive relief and collections. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its confidential information or intellectual property. Treli may additionally bring an action to collect amounts owed in any court of competent jurisdiction, including the courts of your principal place of business.

32.7. Limitations period. Any claim arising out of or relating to these Terms must be brought within one (1) year after the cause of action accrues, except for claims for non-payment.

32.8. Attorneys' fees. In any action to enforce these Terms, the prevailing party is entitled to recover its reasonable attorneys' fees and costs.

ANNEX A — CONTACT CONTROLS

A.1. Available controls. Treli AI provides the following, enabled by default and configurable by the Merchant under A.2:

a) send-time windows, evaluated against the recipient's local time zone, defaulting to 8:00 a.m. – 9:00 p.m.; b) a US federal holiday calendar, which suspends scheduled sends on holidays when active; c) frequency limits per Customer and per period; d) suppression lists — opt-outs, hard bounces and complaints — applied across all Cadences; e) detection of stop-contact requests in Customer replies, with escalation to an operations case; f) an audit record of each communication, with date, time, template and delivery outcome.

A.2. Default state and audit trail. The controls in a), b), c) and d) are enabled by default on activation, with the default values Treli sets. Disabling them, or changing their values in a less restrictive direction, requires an express act by an Administrator and is recorded in the Service audit trail with date, time, user and prior and new values. That record is sufficient evidence of the Merchant's decision.

A.3. Nature. These controls are supporting tools. You are solely responsible for configuring and maintaining them in accordance with applicable law, verifying their correct operation, and updating them when the law changes. Treli may update default values to reflect regulatory developments, which does not constitute legal advice or a guarantee of compliance.

Note on the defaults. The 8:00 a.m. – 9:00 p.m. window and the frequency limits are modeled on the standards in the FDCPA and Regulation F. Those rules bind third-party debt collectors and generally do not bind creditors collecting their own debts, but several state statutes — notably California's Rosenthal Act — do reach original creditors, and the standards are widely treated as the baseline for reasonable practice. They are provided as prudent defaults, not as a determination of what the law requires of you.
